These Terms of Service (“Terms”) govern your use of the Next313 website at next313.com and any inquiry you submit through it. Next313 is a custom software studio operating as a registered d/b/a of Dignetix Ltd(“Next313”, “we”, “us”). Engagements for development services are governed by a separate written agreement; in case of conflict, that agreement controls.
1. Use of the site
You may use the site for lawful purposes only. You agree not to misuse it, attempt to breach its security, scrape it except as permitted by law, or submit unlawful or infringing content.
2. Inquiries & submissions
Information you submit through our discovery or contact forms should be accurate. If you include details about other people (for example, other decision-makers), you confirm you are authorized to share that information. Our handling of submissions is described in our Privacy Policy.
3. Proposals & engagements
Nothing on this site is a binding offer. Pricing and scope shown are indicative; any engagement begins only when both parties sign a written agreement or statement of work.
4. Payments
Where you make payments to us, they are processed by our payment provider on the terms presented at checkout. Invoiced fees are due as stated in your agreement. Prices are exclusive of taxes; applicable sales, use, or similar taxes are added where required.
5. Intellectual property
Site content, branding, and marks are owned by Next313 / Dignetix Ltd. Ownership of deliverables produced during an engagement is governed by the applicable engagement agreement, not these Terms.
6. Disclaimers
The site is provided “as is” and “as available” without warranties of any kind, to the maximum extent permitted by law.
7. Limitation of liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the site, and our aggregate liability will not exceed the amounts you paid us in the 12 months before the claim.
8. Governing law & dispute resolution
These Terms are governed by the laws of the State of Michigan, USA, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the site will be resolved by final and binding arbitration seated in Michigan, rather than in court, and you and we waive any right to a jury trial or to bring or participate in a class action. Either party may still seek injunctive relief for intellectual-property or unauthorized-access matters.
9. Changes to these Terms
We may update these Terms; we will change the “Last updated” date and, for material changes, provide notice. Continued use after changes take effect constitutes acceptance.
